Terms of Sale 

This Terms and Conditions of Sale ("Agreement") applies to all quotations made and purchase orders accepted by Labs Best LLC ("Labs Best"), whether in documentary form, transmitted by electronic means, or made or received over the telephone. By placing an order with Labs Best, you ("Customer") agree to the terms and conditions set forth in this Agreement. Some terms in this Agreement may differ from those in Customer's purchase order or other business forms. Labs Best's acceptance of any order is conditioned on Customer's assent to the provisions of this Agreement. 

Acceptance or Rejection of Orders 

To purchase products from Labs Best ("Products"), Customer must submit a written Purchase Order to Labs Best, order through Labs Best's customer service, or use its website. Each order is subject to acceptance or rejection by Labs Best at its discretion. 

Pricing 

Product pricing is based on Labs Best LLC quotations, and unless otherwise noted in such quotations, does not include freight charges. 

Taxes 

Prices do not include taxes of any nature. Customers shall pay any applicable taxes when invoiced or provide tax exemption certificates as required. 

Shipments 

1. Freight Terms: Freight terms are determined according to our shipping policy. 

2. Risk of Loss or Damage: The risk of loss or damage to Products in transit is specified in our shipping policy. 

3. Scheduled Shipments: If you desire multiple shipping dates on a single purchase order, please specify the dates and quantities in each shipment. 

4. Time of Shipment: Shipping and delivery dates are estimates. We are not liable for any damages resulting from delays in shipment or delivery. 

5. Allocations: In cases of Product shortages, we reserve the right to allocate supply at our discretion. 

6. Partial Shipments: We may make partial shipments, each invoiced separately. 

Terms of Payment and Financial Requirements 

1. Terms of Payment: Payment terms are specified in our payment policy. 

2. Advance Payment: We may require advance payment for certain orders. 

3. Credit Limits: We may establish credit limits for Customers and modify them at our discretion. 

4. Deductions from Payments: Customers shall not make deductions from payments without our consent. 

5. Delinquencies: In cases of delinquent payments or credit defaults, we may exercise remedies specified in our payment policy. 

6. Interest: Interest may accrue on delinquent amounts as per our payment policy. 

7. Attorney's Fees and Costs: In litigation to collect owed sums, we may be entitled to attorney's fees and costs if a judgment is entered in our favor. 

Limited Warranty and Service Provisions 

Our Products are covered by a limited warranty. Details of the warranty are outlined in our warranty policy. 

Restocking Charges  

Non-defective, unused Products can be returned within sixty (60) days without a restocking fee. Returns after sixty days are subject to Labs Best's discretion. 

Force Majeure 

We are excused from performance and obligations in certain circumstances and uncontrollable events. 

Limitation on Our Liability 

Labs Best's liability for any matters related to the business relationship with Customer is limited. 

Changes or Discontinuation of Products and Parts 

We reserve the right to change product designs or discontinue products without notice. 

Waiver; Non-Exclusivity 

All waivers must be in writing. Our waiver of any right in one instance does not waive that right in subsequent instances. 

Applicable Law 

These Terms are governed by the laws of Massachusetts, excluding the United Nations Convention on Contracts for the International Sale of Goods. 

Changes in Terms and Conditions 

We reserve the right to change these Terms at any time without notice. 

Limitation on Actions 

Any action against us for breach of these Terms must commence within one year after the claim accrues. 

Modification 

Any changes to these Terms must be agreed upon in writing by an authorized representative of Labs Best LLC.
